Please read these terms carefully before using our services. By accessing or using Afdera Technology's services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the services provided by Afdera Technology ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services, including our website, software applications, and any related services. We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

2. Description of Services

Afdera Technology provides software development, IT consulting, and related technology services. Our services include but are not limited to:

  • Custom software development (web applications, mobile apps, enterprise solutions)
  • Cloud services and infrastructure management
  • AI and machine learning solutions
  • IT consulting and strategy services
  • System integration and DevOps services
  • UI/UX design and development
  • Technical support and maintenance

Note: The specific scope of services for each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. User Accounts and Responsibilities

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your use complies with all applicable laws and regulations
  • Not sharing your account with others without authorization

You may not:

  • Use the services for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the services
  • Resell or redistribute our services without authorization

4. Payment Terms

Payment terms for our services are as follows:

  • Fees are as specified in your service agreement or Statement of Work
  • Invoices are due within 30 days of issuance unless otherwise agreed
  • All fees are exclusive of taxes unless stated otherwise
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for non-payment

Note: For project-based work, payment milestones will be defined in the project agreement. We accept bank transfers and major credit cards.

5. Intellectual Property Rights

Intellectual property rights are handled as follows:

Our Intellectual Property

All pre-existing intellectual property, proprietary tools, frameworks, and methodologies remain the property of Afdera Technology. This includes our reusable code libraries, templates, and development processes.

Client Deliverables

Upon full payment, clients receive ownership of the custom deliverables specifically created for their project as defined in the Statement of Work. This transfer is subject to any third-party licenses or restrictions.

Third-Party Components

Projects may incorporate third-party software, libraries, or components subject to their respective licenses. We will disclose any such components and their licensing requirements.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This includes:

  • Business strategies, plans, and financial information
  • Technical specifications and source code
  • Customer data and personal information
  • Trade secrets and proprietary methodologies
  • Any information marked as confidential

Note: Confidentiality obligations survive the termination of any service agreement for a period of five (5) years.

7. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of any content
  • Uninterrupted or error-free operation

Note: Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFDERA TECHNOLOGY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use our services
  • Any third-party claims or damages

Note: Our total liability for any claims under these Terms shall not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate the service relationship:

  • With 30 days written notice for convenience (unless otherwise specified in SOW)
  • Immediately if the other party breaches these Terms and fails to cure within 15 days
  • Immediately in cases of non-payment exceeding 60 days
  • Upon mutual written agreement

Upon Termination

Client must pay for all services rendered up to the termination date. We will provide reasonable assistance in transitioning services. All confidentiality obligations remain in effect.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ethiopia, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Addis Ababa, Ethiopia, in accordance with applicable arbitration rules.
